View, not download

External users see documents exclusively as server-rendered page images. Neither download nor print hands out the original — not a single original byte reaches a bidder's browser.

A watermark on every page

Mandatory and impossible to switch off: the viewer's email address, the data room name and a timestamp are placed dynamically on every page delivered. Every visible page can be attributed to a person.

Bidder groups, strictly separated

Several parties in the same data room that cannot see each other and know nothing about each other. Responses reveal neither group names nor the existence of other documents.

Permissions per folder and phase

Visibility per group and folder with downward inheritance and per-document overrides. Plus staged release: prepare documents in phases and promote groups without touching a single rule.

Q&A inside the data room

Bidders ask questions per group, referencing a folder or document. Your team answers with assignment, priority, internal notes and a full history — and can share an anonymised FAQ with all groups.

A complete access log

Sign-ins, opened documents, pages viewed with dwell time and search queries — as a list and CSV export. Bidder engagement is a core result of the data room, not a by-product.

Workflow

From an empty room to a closed process.

A data room is populated in draft, equipped with groups and permissions and only then opened — invitations go out on opening, never before. Every step is traceable, and several processes run side by side without getting in each other's way.

  1. 01

    Create the data room — from a template

    Pick a bilingual folder template with index numbers ("Company sale", "Funding round" or "Empty") and adapt the tree freely afterwards: rename, move, renumber. Name, description and target company stay internal; externally the process carries a code name.

    Load the documents

    Upload PDF, Word, Excel, PowerPoint, PNG and JPEG files in bulk or drop them into the file explorer — the "Data rooms/" branch of the WebDAV drive mirrors every room. Each document is rendered server-side into page images and its text is captured per page for search. Replace a file and it is rendered again.

    Set groups, permissions and phases

    For each bidder group you define which folders are visible; subfolders inherit, individual documents can deviate. The permission matrix shows the server's resolved view, not just the rules. Documents are released in phases — promote a group to phase 2 and it sees the new material immediately. And you check every view up front: "Preview as group" shows exactly what that group will see.

    Open and invite

    When you open the room, every member receives their invitation by email. External users need neither an account nor a licence: email address, six-digit one-time code, done. Sign-in never reveals to outsiders who is involved in a process. Revocation or a change of group takes effect on running sessions immediately.

    Answer questions

    Bidders ask questions in the portal, referencing a folder or document. Your team assigns them, sets priority and due date, discusses in internal notes and replies — optionally with an answer document that you release afterwards. An answer that concerns everyone is shared anonymously as an FAQ. Notifications bundle late arrivals into a single digest email.

  6. 06

    Evaluate the log and close

    Every sign-in, every opened document, every page viewed with dwell time and every search is in the access log — filterable per group, exportable as CSV. Closing the room ends access, freezes open questions and keeps everything readable internally; archiving removes the room from the active list.

FAQ

Frequently asked questions

Can the data room prevent screenshots?
No — and no provider can. The data room promises exactly three things: the original is technically out of reach for external users, every visible page can be attributed to a person through the watermark, and every access is logged. Browser-side hurdles such as a disabled context menu are convenience measures against accidents, not a security boundary.
Do bidders need an account or a licence?
No. External members sign in with their email address and a six-digit one-time code — no platform account, no seat. The invitation arrives by email as soon as you open the data room.
How is the NDA handled before access?
Through the signature module: send the confidentiality agreement from a template for digital signature and only then invite into the data room. The data room itself deliberately has no NDA gate — signing remains its own traceable step with a timestamp and audit certificate.
Can I run several data rooms at the same time?
Yes, without limit. Each data room has its own folders, groups, members, questions and log. The list shows all running processes with their status — draft, open, closed, archived.
Which file formats are supported?
PDF, Word, Excel, PowerPoint, PNG and JPEG, each up to 200 MB and 1,000 pages per document. Office files are converted to PDF server-side and then rendered. Scanned documents without a text layer are displayed but flagged as "not searchable" — vemix does not perform OCR.
Which language do bidders see in the portal?
Portal, template folder names, emails and watermarks are available in German and English throughout. Every member has their own language; it applies to the interface, emails and watermark alike.
